If you have a signed order form, master services agreement, data processing addendum, or statement of work with Ampscale, that signed agreement controls if it conflicts with these Terms.
1. Acceptance
By accessing or using the Ampscale website, applications, gateway-connected services, APIs, reports, exports, or related support, you agree to these Terms on behalf of yourself and, if applicable, the organization you represent. If you do not have authority to bind that organization, you may not use the services for that organization.
Ampscale may update these Terms from time to time. Material changes will be posted on this page or communicated through reasonable product or account notices. Continued use after the effective date of an update means the updated Terms apply.
2. The Ampscale service
Ampscale provides software and related services that help operators collect, organize, analyze, and export information about electrical load, capacity, equipment status, readiness workflows, and supporting evidence. The service may include dashboards, APIs, notifications, reports, evidence records, gateway telemetry, integrations, professional services, and support.
Outputs from the service are operational decision-support tools. They are not a substitute for work by licensed electricians, engineers, authorities having jurisdiction, utilities, inspectors, or other qualified professionals. You remain responsible for field verification, code compliance, site work, permitting, utility approvals, and final project decisions.
3. Accounts and users
You are responsible for the accuracy of account information, for keeping credentials confidential, and for all activity under accounts issued to your organization. You must promptly notify Ampscale if you suspect unauthorized access or misuse.
- You will invite only authorized users and assign roles appropriate to their job responsibilities.
- You will maintain lawful authority to provide site, electrical, meter, facility, and business data to Ampscale.
- You will not share user seats, bypass authentication, or use a service credential for human interactive access.
4. Customer data and site records
You retain ownership of data, files, telemetry, site information, meter readings, images, documents, and other materials you submit to or collect through the service ("Customer Data"). You grant Ampscale the rights needed to host, process, transmit, display, secure, back up, and support Customer Data as necessary to provide and improve the service.
Ampscale may use aggregated or de-identified information to operate, secure, improve, and benchmark the service, provided it does not identify you, your users, or a specific site. Ampscale will handle personal information as described in the Privacy Policy.
The service may create audit trails, evidence records, derived calculations, and exportable reports based on Customer Data. Those records may be retained as necessary for security, compliance, dispute resolution, and product integrity, subject to applicable law and your signed agreement.
5. Acceptable use
You will not, and will not permit others to:
- use the service unlawfully or to violate safety, privacy, export, sanctions, or anti-corruption laws;
- interfere with, probe, scan, overload, reverse engineer, or bypass security or access controls;
- submit malicious code, deceptive content, or data you do not have rights to process;
- use outputs as the sole basis for life-safety, emergency, medical, or legally required engineering determinations;
- resell, sublicense, or make the service available to third parties except as expressly permitted in an order form.
6. Plans, trials, and billing
Fees, usage limits, included sites, gateways, support levels, professional services, renewal terms, taxes, and payment schedules are described in the applicable order form or checkout flow. Unless stated otherwise, fees are non-refundable and payable in U.S. dollars.
Trials, pilots, free headroom checks, previews, beta features, and promotional offers may be limited, modified, or discontinued at any time. Beta and preview features are provided as-is and may change before general availability.
7. Hardware, gateways, and installation
If your use includes gateways, meters, sensors, or related hardware, the applicable order form will describe ownership, leasing, shipping, replacement, return, and support terms. Installation and electrical work must be performed by qualified personnel where required. You are responsible for site access, permits, safe work conditions, and compliance with applicable rules.
Ampscale is not responsible for utility outages, wireless carrier limitations, site wiring conditions, inaccurate installation details, customer-controlled networks, or third party equipment outside Ampscale's control.
8. Availability, support, and changes
Ampscale works to keep the service reliable and secure, but does not guarantee uninterrupted or error-free operation unless a signed agreement states a specific service level. The service may be unavailable due to maintenance, upgrades, emergencies, network issues, provider failures, customer environments, or events outside Ampscale's reasonable control.
Ampscale may modify features to improve performance, security, compliance, or usability, provided changes do not materially reduce the core functionality of a paid subscription during its then-current term.
9. Intellectual property
Ampscale and its licensors retain all rights in the service, software, designs, models, workflows, documentation, templates, code, and related technology. Except for the limited right to use the service during an active subscription, no rights are granted by implication or otherwise.
Feedback is voluntary. If you provide suggestions or ideas, Ampscale may use them without restriction or obligation to you.
10. Disclaimers and limitation of liability
To the fullest extent permitted by law, the service is provided "as is" and "as available" except as expressly stated in a signed agreement. Ampscale disclaims implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement.
To the fullest extent permitted by law, neither party will be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenues, goodwill, data, or business interruption. Ampscale's total liability for claims relating to the service will not exceed the amounts paid by you to Ampscale for the affected service in the twelve months before the event giving rise to the claim.
11. Suspension and termination
You may stop using the service at any time, subject to payment obligations and any committed term in your order form. Ampscale may suspend access if fees are overdue, if use creates security or operational risk, if required by law, or if you materially breach these Terms.
Upon termination, your right to use the service ends. Ampscale may provide a reasonable opportunity to export Customer Data unless prohibited by law, security requirements, nonpayment, or your agreement. Sections that by their nature should survive termination will survive.
12. Governing law and contact
These Terms are governed by the laws of the State of Delaware and applicable U.S. federal law, without regard to conflict of law rules. The parties will attempt to resolve disputes in good faith before filing a formal claim, except where urgent injunctive relief is needed.
